Schulte Roth & Zabel partner and co-head of the Global Shareholder Activism Group Ele Klein was quoted in The Deal on the recent increase in ex-executives and C-Suite officials working with activists and insurgent managers. Managers are seeking these partnerships to gain behind-the-scenes insight into corporate oversight and leverage with incumbent boards, institutional investors and proxy advisers.
Sometimes ex-executives or other experts remain behind the scenes. In other circumstances, former executives are interested in participating in public activism, often because they own many shares in a struggling company. In some situations, ex-executives help shape the activist's message but don't want to be involved in the delivery of the campaign to the company and shareholders, said Ele. There are plenty of situations where former executives help activists identify issues, improvements and turnaround ideas, he added. In other situations, the ex-employee or former executive will help the activist once the campaign has been launched.
